Terms & Conditions

  1. Acceptance of Terms

By approving a proposal, signing an agreement, or submitting payment for any invoice, the customer agrees to and accepts these Terms & Conditions, as well as any associated Proposal, Estimate, Statement of Work (SOW), designs, drawings, and project documentation.

These Terms & Conditions apply to all invoices, products, services, and projects provided by Second State Woodworking LLC.

  1. Project Scope

Project scope is defined in the associated Proposal, Estimate, Statement of Work (SOW), and any drawings or plans. 

These documents are incorporated by reference and collectively define the project. 

Any work not explicitly included in these documents is considered outside the scope of work.

  1. Nature of Wood Products

All products are handcrafted from natural wood materials. Wood is a living, organic material and will naturally expand, contract, and change in response to environmental conditions. 

Variations in grain, color, texture, knots, mineral streaks, and figure are inherent characteristics and are not considered defects. 

No two pieces will be identical.

  1. Wood Movement & Environmental Conditions

Wood products are highly sensitive to humidity and temperature changes. Customers acknowledge and agree that:

  • Seasonal expansion and contraction is normal
  • Minor cracking, checking, warping, cupping, joint movement, or separation may occur
  • Wood movement may cause slight changes in fit, alignment, or surface appearance over time

Second State Woodworking LLC is not responsible for damage caused by:

  • Improper humidity levels (recommended 35%–55% indoor relative humidity)
  • Direct sunlight exposure
  • Excess heat sources (radiators, fireplaces, HVAC vents)
  • Outdoor exposure unless specifically designed for exterior use
  • Improper storage or installation by others
  1. Handcrafted Nature & Tolerances

All items are handmade. The following are considered acceptable:

  • Dimensional tolerances of ± 1/8″ unless otherwise specified
  • Minor variations in finish appearance or sheen
  • Slight variations in joinery alignment or surface texture
  1. Finishes

Finishes are applied by hand and may vary slightly in tone or sheen. Over time, finishes may:

  • Develop patina
  • Lighten or darken
  • Show wear consistent with normal use

This is considered normal aging and not a defect.

  1. Changes to Scope

Any work outside the approved scope must be documented in a written Change Order. 

Additional work may result in increased cost and/or changes to the project timeline.

  1. Payment Terms

Unless otherwise stated:

  • A $500 design fee (if applicable) is non-refundable and applied to the project total
  • 50% deposit is required to begin production
  • 40% is due prior to installation
  • 10% is due upon completion 

Failure to make payments as scheduled may result in suspension of work.

Second State Woodworking LLC reserves the right to suspend work until payment is received.

  1. Late Fees

Payments not received within 7 days of the due date may incur a late fee of 1.5% per month (18% annually), or the maximum allowed by law.

  1. Material Procurement & Ownership

Materials may be purchased upon receipt of deposit. All materials, products, and work remain the property of Second State Woodworking LLC until paid in full.

  1. Cancellation

If a project is canceled after approval, the customer is responsible for:

  • Work completed to date
  • Materials purchased or ordered
  • Any non-refundable costs incurred

Deposits are non-refundable once materials are purchased or production has begun. Any payments made may be applied to costs incurred and are not guaranteed to be refundable.

  1. Project Delays

Second State Woodworking LLC is not responsible for delays caused by:

  • Material shortages or availability
  • Customer delays
  • Site conditions
  • Other contractors

Project timelines may be adjusted accordingly.

  1. Storage & Delays by Customer

If delivery or installation is delayed due to the customer, storage fees may apply after 14 days.

  1. Delivery & Installation

The customer is responsible for:

  • Providing safe site conditions and unobstructed access to delivery location
  • Ensuring the site is ready for installation
  • Verifying all measurements (if applicable)

Additional charges may apply if site conditions differ from those originally represented or provided by the customer.

Second State Woodworking LLC is not responsible for modifications required due to incorrect site measurements solely provided by the customer.

All dimensions and site conditions are subject to field verification. Second State Woodworking LLC is not responsible for discrepancies in measurements provided by the customer or third parties.

  1. Care & Maintenance

Customers are responsible for maintaining appropriate environmental conditions and proper care. Failure to properly maintain the product may void any applicable warranty. 

Care instructions will be provided upon request.

  1. Warranty

Second State Woodworking LLC provides a one (1) year limited warranty on workmanship under normal residential use. This warranty does not cover:

  • Natural wood movement
  • Normal wear and tear
  • Environmental damage
  • Misuse, abuse, or neglect
  • Modifications performed by others

Manufacturer warranties on hardware, finishes, or materials are passed through to the customer.

Liability is limited to repair or replacement at the discretion of Second State Woodworking LLC.

Second State Woodworking LLC disclaims all other warranties, express or implied, including merchantability or fitness for a particular purpose.

  1. Limitation of Liability

Liability is limited to the total amount paid for the project. Second State Woodworking LLC shall not be liable for indirect, incidental, or consequential damages.

  1. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.

  1. Force Majeure

Second State Woodworking LLC shall not be liable for delays caused by circumstances beyond reasonable control, including material shortages, supplier delays, weather events, or acts of God.

  1. Entire Agreement

This Agreement, along with any associated Proposal, SOW, drawings, and approved Change Orders, constitutes the entire agreement between the parties.

  1. Applicability

These Terms & Conditions apply to all invoices and projects unless otherwise agreed in writing. 

These Terms & Conditions supersede any conflicting terms unless agreed to in writing by Second State Woodworking LLC.
